Your use of the Art.com iPhone application and related services (the “Services”) is subject to the terms and conditions of this Agreement between you and Art.com, Inc. The Services are offered only to users aged 18 and above.

Prohibited Content

You may not upload any artwork, image or other information (“Content”):
to which you do not own the copyright;
that includes the copyrighted work of any third party;
that features the brand, logo, trademark, trade name or trade dress of any other person or entity;
that infringes any third party’s rights of privacy or publicity;
that contains hate or racial intolerance or advocates violence or ridicule against any individual, group, or organization;
that displays illegal drugs or the paraphernalia used for them;
that contain hate messages or disparage or ridicule other people;
that is obscene, pornographic or sexually offensive;
that contain overt or gratuitous violence or images of crime-scene photos, morgue shots or violent depictions or human organs and body parts, or images that promote suicide;
that is defamatory or libelous;
that promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or otherwise;
that is harmful to or exploitative of children; or
that is otherwise illegal.
Art.com reserves the right to finally determine the appropriateness of all images uploaded to the Service, and Art.com reserves the right to refuse any request to create a printed reproduction of any Content for any reason whatsoever or for no reason at all.

Responsibility for Content

You agree that all Content uploaded to the Service must comply with the above rules regarding Prohibited Content. You will be solely responsible for all Content uploaded to the Service.

You hereby agree to defend, indemnify and hold harmless Art.com and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ and witness fees) (any or all of the foregoing hereinafter referred to as “Losses”) insofar as such Losses (or actions in respect thereof) arise out of or are based on any violation of the above rules regarding Prohibited Content.

You acknowledge and agree that we may preserve Content or disclose it if required to do so by law, at the request of a law enforcement agency, or in the good faith belief that such disclosure is reasonably necessary comply with legal process or enforce the terms of this Agreement. Our production of any print or product featuring your Content uploaded to the Service does not indicate that we approve of the Content or that you are absolved of any liability or harm arising from our use of the Content.

Privacy Policy

You should also be aware of our Privacy Policy. Your purchase of any products from Art.com, Inc. will be deemed an acknowledgement of our Privacy Policy. See www.art.com.

License Grant

You retain all copyrights to your Content; provided, however, that by using the Service you grant to us a non-exclusive, transferable, worldwide, royalty-free license to reproduce and sell reproductions of your Content pursuant to your order instructions.

Disputes

This Agreement will be governed by the laws of the United States and the State of California, without reference to rules governing choice of laws. Any dispute with regard to this Agreement shall be submitted to arbitration by a single arbitrator in San Francisco, California, in accordance with the Commercial Arbitration Rules of the American Arbitration Association then in effect. The award rendered by the arbitrator shall be binding as between the parties and judgment on such award shall be entered in any court having jurisdiction thereof. The arbitrator may award attorney's fees and costs to the prevailing party. If any term, clause or provision of this Agreement shall be deemed invalid or unenforceable for any reason, the remainder of this Agreement shall remain valid and enforceable in accordance with its terms.
