The features available within the Free Version and the regions where the Services can be accessed are entirely at our discretion. We reserve the right to modify the scope of features or discontinue the Free Version at any time and in any location. BREACHES BY PARTICIPANTS 4.1 If you breach any Terms, or any applicable laws, or if we have reasonable grounds to believe that you are in breach of any Terms, or any applicable laws, we shall have the right to take such disciplinary actions as we deem appropriate, including without limitation: (a) suspending or terminating your Participant Account and any accounts determined to be related to Participant Account by us, and terminate the Terms and/or applicable laws in our sole discretion without liability for any losses or damages arising out of or in connection with such suspension or termination; (b) restricting, downgrading, suspending or terminating the subscription of, access to, or current or future any use of Services and/or the AliExpress Portal; (c) removing any Participant Content, or imposing restrictions on the Participant Content; (d) imposing other restrictions on your use of any features or functions of any Services and/or the AliExpress Portal as we may consider appropriate in our sole discretion; and (e) any other corrective actions, discipline or penalties as we may deem necessary or appropriate in our sole discretion. 4.2 You further agree that your creation, publication, use, and distribution of Advertising Materials must comply with the terms and conditions of the Advertising Terms or any applicable laws, or if we have reasonable grounds to believe that you are in breach of the Advertising Terms or any applicable laws; otherwise, we will enforce the penalties as set out in the Advertising Terms and /or take any corrective actions, discipline or penalties as we may deem necessary or appropriate in our sole discretion.   5. The Output may not be protectable by intellectual property rights. 5.4 Each Participant hereby agrees to indemnify and hold us, our associate companies, directors, officers, employees, agents or representatives of us and our associate companies, and anyone acting on our behalf harmless, from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from, directly or indirectly: (1) such Participant's access to, or use or misuse of the Services; (2) the submission, posting or display of such Participant's information and Participant Content on the AliExpress Portal; (3) the failure, upgrade, delay, error, shut-down or maintenance of our server; (4) non-performance, defective performance by, availability or unavailability of, any Vendors, AliExpress Portal and AliExpress Platform; (5) any matters relating to the AliExpress Portal or Services, however arising, including negligence; (6) any violation of third party rights or claims or demands that Participant's use of services offered or displayed on or through the AliExpress Portal and the Services may violate or may be asserted to violate third party rights; or claims by any party that they are entitled to defense or indemnification in relation to assertions of rights, demands or claims by third party rights claimants; (7) your breach of any of the representations and warranties hereunder and the terms and conditions of the Terms, and any applicable laws and regulations; or (8) other exemptions and disclaimers referred to in the Terms. 5.5 Each Participant hereby further agrees that we are not responsible and shall have no liability to you, for any material posted by you or any others, including defamatory, offensive or illicit material and that the risk of damages from such material rests entirely with each Participant. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with us in asserting any available defenses. 5.6 Notwithstanding any of the foregoing provisions, the aggregate liability of us, our associate companies, directors, officers, employees, agents or representatives of us and our associate companies, and anyone acting on our behalf with respect to each Participant for all claims arising from the access to or use of the Services shall be limited to the amount of fees you have paid to us in exchange for the access to or use of the Services through AliExpress Portal during the 12 months immediately preceding the claim. The preceding sentence shall not preclude the requirement by you to prove actual damages. 5.7 The limitations and exclusions of liability to you under the Terms shall apply to the maximum extent permitted by law and shall apply whether or not we have been advised of or should have been aware of the possibility of any such losses arising.   6. FORCE MAJEURE 6.1 We shall not be liable for or required to pay compensation of any nature whatsoever for any loss arising from the unavailability, inconvenience or failures of the Services due to the following reasons: (1) system shut-down for maintenance; (2) inability to transmit data due to failures in communications terminals or telecommunications equipment; (3) systems failure and inability to perform its functions due to force majeure events including but not limited to typhoons, earthquakes, tsunamis, floods, power failure, fires, storms, war, political unrest, labour strikes, shortage of labor or materials, riots, insurrections, civil disturbances, terrorist attack, explosions, acts of God, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties; or (4) suspension or delay of services or systems failure due to reasons beyond the reasonable control of us such as hacker or cyber-attacks, technical adjustments or failure of the telecommunications department, website upgrades, third party problems or any suspension or disruption of transportation or business operation (including but not limited to delays or disruption of the resumption of work or operation ordered by any government agency) in the event of a national or regional spread of epidemic or pandemic.   7. INTELLECTUAL PROPERTY RIGHTS 7.1 We are the owner or lawful licensee of all the rights and interests in the Services. The Services embody trade secrets and other intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the Services shall remain with us, our associate companies or licensors, as the case may be. In addition, we may also suspend or terminate the Terms immediately upon written notice to you for any of the following: (a) you are in breach of these Terms; (b) we believe that we may face potential claims or liability in connection with your use of Services; (c) we believe that our brand or reputation may be tarnished by you or in connection with your use of Services; (d) your use of Services has been used for deceptive, fraudulent or illegal activity; (e) we have previously terminated these Terms (or suspended your Participant Account) with respect to you or other persons that we determine are affiliated with you or acting in concert with you for any reason. 8.2 These Terms of Use will automatically suspend or terminate upon the suspension or the termination of the AliExpressAffiliateProgramServiceAgreement. 8.3 Upon expiration or termination of the Terms for any reason, you shall immediately cease any use of Services, and all rights and obligations of the Parties under these Terms will be extinguished, except that Clauses 5, 6, 7 and 9 survive termination. Any amounts due and payable by you of these Terms of Use shall survive termination and continue to be due and until such amounts are paid in full by you.   9. GOVERNING LAW AND ARBITRATION AGREEMENT 9.1 This Agreement shall be governed by the laws of Hong Kong. Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be first settled through friendly consultations between the Parties. In the event that no settlement is reached within thirty (30) days from the date of notification by either Party to the other that it intends to submit a dispute, controversy or claim to arbitration, then such dispute, controversy or claim shall be settled by arbitration in accordance with the HKIAC Administered Arbitration Rules in effect at the time of applying for arbitration and as may be amended by the rest of this Clause. The arbitration institute shall be the Hong Kong International Arbitration Centre (“HKIAC”) and the place of arbitration shall be in Hong Kong at HKIAC. The language of the arbitration shall be English. The tribunal shall consist of three arbitrators. Each of the Parties shall select an arbitrator. The third and presiding arbitrator shall be selected by HKIAC. (3) 당사는 서비스를 통해 생성, 획득 또는 액세스할 수 있는 모든 메시지 또는 자료 또는 정보의 내용을 적극적으로 모니터링하거나 편집 통제를 행사할 권리가 있지만 의무는 없습니다. (4) 귀하는 모든 액세스 및 서비스 사용이 동일한 사항을 준수하도록 하기 위해 해당 관할권의 해당 법률 및 규정을 준수할 전적인 책임이 있습니다. (5) 귀하와 귀하의 제휴사(해당되는 경우)는 각자의 사업을 수행하고 광고 서비스를 제공할 때 해당 법률 및 규정을 준수해야 합니다. (6) 귀하는 AliExpress 포털, 당사 및/또는 다른 참여자의 컴퓨터 시스템 또는 네트워크의 무결성을 훼손하거나 해당 AliExpress 포털, 컴퓨터 시스템 또는 네트워크에 대한 무단 액세스를 얻는 어떠한 조치도 취하지 않습니다. (7) 언제든지 위의 요구 사항을 충족하지 못하는 경우 즉시 서비스 사용을 중단해야 합니다. 3.2 귀하는 당사의 요청에 따라 당사가 귀하에게 기인한다고 합리적으로 믿는 서비스와 관련된 문제를 식별하고 해결하기 위해 당사와 협조하는 데 동의합니다. 4. 참가자의 위반 4.1 귀하가 약관 또는 해당 법률을 위반하거나 당사가 귀하가 약관 또는 해당 법률을 위반했다고 믿을 만한 합리적 근거가 있는 경우, 당사는 다음을 포함하되 이에 국한되지 않고 적절하다고 생각되는 징계 조치를 취할 권리가 있습니다. (a) 귀하의 참가자 계정 및 당사가 참가자 계정과 관련이 있다고 판단한 모든 계정을 정지 또는 해지하고, 그러한 정지 또는 해지로 인해 발생하거나 관련된 손실 또는 피해에 대한 책임 없이 당사의 단독 재량에 따라 약관 및/또는 해당 법률을 해지합니다. (b) 서비스 및/또는 AliExpress 포털의 구독, 액세스 또는 현재 또는 미래의 모든 사용을 제한, 다운그레이드, 정지 또는 해지합니다. (c) 참가자 콘텐츠를 제거하거나 참가자 콘텐츠에 제한을 부과합니다. (d) 당사의 단독 재량에 따라 적절하다고 판단되는 모든 서비스 및/또는 AliExpress 포털의 기능 또는 기능 사용에 대한 기타 제한을 부과합니다. (e) 당사의 단독 재량에 따라 필요하거나 적절하다고 판단되는 기타 시정 조치, 징계 또는 처벌. 4.2 귀하는 또한 광고 자료의 작성, 게시, 사용 및 배포가 광고 약관 또는 해당 법률의 약관을 준수해야 하거나, 귀하가 광고 약관 또는 해당 법률을 위반했다고 믿을 만한 합리적인 근거가 있는 경우 동의합니다. 그렇지 않으면 당사는 광고 약관에 명시된 대로 처벌을 집행하고/하거나 당사의 단독 재량에 따라 필요하거나 적절하다고 판단되는 시정 조치, 징계 또는 처벌을 취합니다. 5. 책임의 한계 5.1 T법률에서 허용하는 최대 범위 내에서, 그리고 약관에 따라 명시적으로 제공되지 않는 한, 당사가 제공하는 서비스 및 산출물은 "있는 그대로", "사용 가능한 대로" 및 "모든 결함 포함"으로 제공되며, 당사는 여기에 명시적으로 모든 보증(명시적이든 묵시적이든)을 부인합니다. 여기에는 다음이 포함되지만 이에 국한되지 않습니다. (I) 조건, 품질, 내구성, 성능, 정확성, 적절성, 완전성, 유효성, 가용성, 기능성, 정확성, 신뢰성, 상품성 또는 특정 목적에의 적합성에 대한 보증, (II) 다음과 같은 모든 보증. 서비스 및 출력이 귀하의 기대 또는 요구 사항을 충족하거나 (III) 서비스 및 출력이 시기적절하고, 중단되지 않고, 정확하고, 올바르고, 안전하고, 완전하고, 신뢰할 수 있고, 오류가 없고, 바이러스나 기타 유해한 구성 요소가 없으며, 결함이나 오작동이 없다는 모든 보증. 이러한 모든 보증, 진술, 조건 및 약속은 여기서 제외됩니다. 귀하가 서비스와 출력을 사용하고, 서비스를 통해 다운로드하거나 다른 방식으로 얻은 모든 자료는 귀하의 재량과 위험에 따라 이루어지며, 귀하는 그로 인해 발생하는 모든 손실을 감수해야 합니다. 5.2 당사는 출력에 대한 명시적 또는 묵시적 보증을 모두 부인하며, 여기에는 출력이 제3자의 권리 또는 해당 법률을 위반하지 않는다는 묵시적 보증도 포함됩니다. 5.3 이 서비스를 사용하면 일부 참여자에게 예상치 못하거나 적합하지 않은 출력이 생성될 수 있습니다. 출력은 고유하지 않을 수 있으며 이 서비스의 다른 사용자는 동일하거나 유사한 출력을 생성할 수 있습니다. 출력은 지적 재산권으로 보호되지 않을 수 있습니다. 5.4 각 참가자는 당사, 당사 계열사, 당사 및 당사 계열사의 이사, 임원, 직원, 대리인 또는 대표자, 그리고 당사를 대신하여 행동하는 모든 사람을 다음과 같은 사항으로 인해 직접 또는 간접적으로 발생할 수 있는 모든 손실, 청구, 책임(전액 보상 기준의 법적 비용 포함)으로부터 면책하고 보호하는 데 동의합니다. (1) 해당 참가자의 서비스 접근 또는 사용 또는 오용 (2) 해당 참가자의 정보 및 참가자 콘텐츠를 AliExpress 포털에 제출, 게시 또는 표시 (3) 당사 서버의 오류, 업그레이드, 지연, 오류, 종료 또는 유지 관리 (4) 공급업체, AliExpress 포털 및 AliExpress 플랫폼의 미이행, 불량한 수행, 가용성 또는 불가용성 (5) 태만을 포함하여 AliExpress 포털 또는 서비스와 관련된 모든 사항 (6) 제3자 권리의 위반 또는 AliExpress 포털 및 서비스에서 제공 또는 표시된 서비스 사용으로 인해 제3자 권리를 침해하거나 침해한다고 주장될 수 있다는 주장 또는 요구 사항; 또는 제3자 권리 청구인의 권리 주장, 요구 또는 청구와 관련하여 방어 또는 면책을 받을 자격이 있다는 제3자 권리 청구인의 주장; (7) 귀하가 여기에 명시된 진술 및 보증과 약관의 약관 및 조건, 해당 법률 및 규정을 위반한 경우; 또는 (8) 약관에 언급된 기타 면제 및 면책 조항. 5.5 각 참가자는 명예 훼손, 공격적 또는 불법적 자료를 포함하여 귀하 또는 다른 사람이 게시한 모든 자료에 대해 당사가 귀하에게 책임이 없으며 어떠한 책임도 지지 아니하며 그러한 자료로 인한 피해 위험은 전적으로 각 참가자에게 있다는 데 동의합니다. 당사는 귀하의 배상이 필요한 모든 사항에 대해 자체 비용으로 배타적 방어 및 통제를 맡을 권리가 있으며, 이 경우 귀하는 당사와 협력하여 이용 가능한 방어 수단을 주장해야 합니다. 5.6 앞서 언급한 조항에도 불구하고 당사, 당사 계열사, 당사 및 당사 계열사의 이사, 임원, 직원, 대리인 또는 대표, 그리고 당사를 대신하여 각 참여자와 관련하여 서비스에 대한 접근 또는 사용으로 인해 발생하는 모든 청구에 대한 당사를 대신하여 행동하는 모든 사람의 총 책임은 청구 직전 12개월 동안 AliExpress 포털을 통해 서비스에 대한 접근 또는 사용과 교환하여 당사에 지불한 수수료 금액으로 제한됩니다. 앞의 문장은 귀하가 실제 손해를 입증해야 하는 요구 사항을 배제하지 않습니다. 5.7 약관에 따른 귀하에 대한 책임의 제한 및 배제는 법률에서 허용하는 최대 한도까지 적용되며 당사가 그러한 손실의 가능성을 통보받았는지 여부 또는 알고 있어야 하는지 여부에 관계없이 적용됩니다. 6. 불가항력 6.1 당사는 다음의 사유로 인해 서비스를 이용할 수 없거나 불편하거나 장애가 발생하여 발생하는 모든 손실에 대해 어떠한 성격의 보상도 지불할 책임이 없으며 지불할 의무도 없습니다. (1) 유지 관리를 위한 시스템 종료; (2) 통신 단말기 또는 통신 장비의 장애로 인한 데이터 전송 불능; (3) 태풍, 지진, 쓰나미, 홍수, 정전, 화재, 폭풍 등을 포함하되 이에 국한되지 않는 불가항력 사건으로 인한 시스템 장애 및 기능 수행 불능orms, 전쟁, 정치적 불안, 노동 파업, 노동력 또는 자재 부족, 폭동, 반란, 시민 소요, 테러 공격, 폭발, 신의 행위, 정부 조치, 국내 또는 외국 법원 또는 재판소의 명령, 제3자의 불이행; 또는 (4) 해커 또는 사이버 공격, 통신 부서의 기술적 조정 또는 실패, 웹사이트 업그레이드, 제3자 문제 또는 전염병 또는 팬데믹의 국가적 또는 지역적 확산 시 운송 또는 사업 운영의 중단 또는 중단(정부 기관에서 명령한 작업 또는 운영 재개의 지연 또는 중단을 포함하되 이에 국한되지 않음)과 같이 당사의 합리적인 통제를 벗어난 이유로 인한 서비스 또는 시스템 장애의 중단 또는 지연. 7. 지적 재산권 7.1 당사는 서비스의 모든 권리와 이익의 소유자이거나 합법적인 라이센스 소지자입니다. 서비스는 전 세계 저작권 및 기타 법률에 따라 보호되는 영업 비밀 및 기타 지적 재산권을 구현합니다. 서비스의 모든 권리, 소유권 및 지적 재산권은 경우에 따라 당사, 당사의 제휴사 또는 라이센스 제공자에게 있습니다. 약관 또는 당사에 따라 달리 주장되지 않은 모든 권리는 여기에 따라 보호됩니다. 7.2 귀하 또는 귀하의 직원, 계약자 및 대리인이 우편, 이메일, 전화 또는 기타 방법으로 당사에 통신이나 자료를 보내거나 전송하여 서비스에 대한 변경 사항을 제안하거나 권장하는 경우(이에 국한되지 않음), 여기에는 새로운 기능이나 관련 기능, 또는 의견, 질문, 제안 또는 이와 유사한 내용("피드백")이 포함되며, 이러한 모든 피드백은 비밀이 아닌 것으로 처리됩니다. 귀하는 이러한 피드백을 제공한 후, 귀하가 당사에 양도하고, 귀하의 직원, 계약자 및 대리인에게 양도하도록 하거나, 당사에 피드백에 포함된 모든 아이디어, 노하우, 개념, 기술 또는 기타 지적 재산권을 귀하 또는 제3자에게 귀속 또는 보상 없이 사용할 수 있는 비독점적이고, 전액 지불되고, 취소 불가능하고, 로열티가 없고, 전 세계적이며, 하위 라이선스가 가능한 라이선스를 부여하는 데 동의합니다. 이러한 피드백은 당사가 단독 재량에 따라 모든 목적으로 사용할 수 있지만, 당사는 피드백을 사용할 의무가 없습니다. 7.3 본 서비스 사용 및 광고 자료 게시는 저작권, 상표 및 기타 독점권을 침해해서는 안 됩니다. 8. 기간 및 종료 8.1 본 계약의 기간은 귀하가 본 이용 약관을 수락한 시점부터 시작됩니다. 당사는 귀하에게 종료 통지를 제공함으로써 언제든지 사유 여부와 관계없이(해당 법률에 따라 허용되는 경우 자동으로 법원에 구제 수단 없이) 서비스를 즉시 종료할 수 있습니다. 또한, 당사는 다음 중 하나에 대해 서면 통지로 즉시 약관을 일시 중단하거나 해지할 수 있습니다. (a) 귀하가 이 약관을 위반한 경우; (b) 당사가 귀하의 서비스 사용과 관련하여 잠재적 청구 또는 책임에 직면할 수 있다고 생각하는 경우; (c) 당사 브랜드 또는 평판이 귀하 또는 귀하의 서비스 사용과 관련하여 훼손될 수 있다고 생각하는 경우; (d) 귀하의 서비스 사용이 사기적, 사기적 또는 불법적 활동에 사용된 경우; (e) 당사가 귀하 또는 귀하와 제휴하거나 귀하와 공모하는 것으로 판단되는 다른 사람과 관련하여 이전에 이 약관을 해지한 경우(또는 귀하의 참여자 계정을 일시 중단한 경우). 8.2 이 약관은 AliExpressAffiliateProgramServiceAgreement가 일시 중단되거나 해지되면 자동으로 일시 중단되거나 해지됩니다. 8.3 어떤 이유로든 약관이 만료되거나 해지되면 귀하는 즉시 서비스 사용을 중단해야 하며, 이 약관에 따른 당사자의 모든 권리와 의무는 소멸되지만, 조항 5, 6, 7 및 9는 해지 후에도 유효합니다. 이용 약관에 따라 귀하가 지불해야 할 금액은 해지 후에도 유효하며, 귀하가 해당 금액을 전액 지불할 때까지 계속 지불해야 합니다. 9. 준거법 및 중재 합의 9.1 본 계약은 홍콩의 법률에 따라 관리됩니다. 본 계약에서 발생하거나 본 계약과 관련하여 발생하는 모든 분쟁, 논란 또는 청구, 계약의 존재, 유효성 또는 해지에 대한 모든 질문은 당사자 간의 우호적인 협의를 통해 먼저 해결해야 합니다. 당사자 중 한 쪽이 분쟁, 논란 또는 청구를 중재에 제출하려는 의도를 다른 쪽 당사자에게 통지한 날로부터 삼십(30)일 이내에 합의에 도달하지 못하는 경우, 해당 분쟁, 논란 또는 청구는 중재 신청 당시에 유효하고 본 조항의 나머지 부분에서 수정될 수 있는 HKIAC 관리 중재 규칙에 따라 중재를 통해 해결해야 합니다. 중재 기관은 홍콩 국제 중재 센터("HKIAC")이며 중재 장소는 홍콩의 HKIAC입니다. 중재 언어는 영어입니다. 재판소는 3명의 재판관으로 구성됩니다.  중재자. 각 당사자는 중재자를 선정해야 합니다. 세 번째이자 주재 중재자는 HKIAC에서 선정합니다. 중재 판정은 최종적이며 당사자에게 구속력이 있습니다. 10. 기타 10.1 본 약관은 귀하와 당사 간의 서비스 사용과 관련된 전체 계약을 구성하며, 여기에 있는 동일한 주제와 관련된 이전의 서면 또는 구두 계약을 대체합니다. 10.2 당사와 귀하는 독립 계약자이며, 약관에 의해 어떠한 대리, 파트너십, 합작 투자, 직원-고용주 또는 프랜차이즈-프랜차이즈 관계도 의도되거나 생성되지 않습니다. 10.3 약관의 어떤 조항이 무효 또는 집행 불가능하다고 판단되는 경우, 해당 조항은 삭제되고 나머지 조항은 유효하며 집행됩니다. 10.4 제목은 참조 목적으로만 제공되며, 해당 조항의 범위 또는 정도를 정의, 제한, 해석 또는 설명하지 않습니다. 약관에서 사용되는 "포함하다", "포함한다", "포함하는" 및 유사한 용어는 "제한 없이"라는 단어가 뒤에 오는 것처럼 해석됩니다. 10.5 약관에 따라 귀하의 위반에 대한 권리를 행사하지 못하거나 조치를 취하지 않는 것은 해당 권리의 포기 또는 후속 또는 유사한 위반에 대한 조치할 권리의 포기로 간주되지 않습니다. 10.6 당사는 약관의 일부 또는 전부(약관에 명시된 당사의 모든 권리, 소유권, 혜택, 이해관계, 의무 및 책임 포함)를 모든 개인 또는 단체(당사의 제휴 회사 포함)에 양도 및/또는 변경(신설)할 권리가 있습니다. 당사는 귀하에게 서면 통지(AliExpress 포털에 게시될 수 있음)를 통해 약관 또는 그 일부의 변경을 요구할 수 있으며, 귀하는 이에 따라 변경에 취소 불가능하게 동의하고 승낙하며, 이에 따라 당사는 이러한 약관에 따른 모든 의무와 이러한 변경 시점까지 이러한 약관에 따라 발생한 모든 청구, 소송 및 요구에서 해제되고 면제됩니다. 귀하는 약관의 일부 또는 전부를 어떠한 개인 또는 단체에도 양도할 수 없습니다. 10.7 이러한 약관에 반대되는 명시적 규정이 없는 한, 이러한 약관의 당사자가 아닌 사람은 계약(제3자 권리) 조례(홍콩 법률 제623장)에 따라 이러한 약관을 시행하거나 혜택을 누릴 권리가 없습니다.
